NOTICE IS HEREBY GIVEN by the undersigned, as the Executive
Director of the Southern California Public
Power Authority, that a meeting of
the Finance Committee (the "Committee")
of the Board of Directors is to be held as
follows:

The following matters are the business to be transacted
and considered by the Committee:
-
Financial Statements
The Committee will review unaudited Quarterly Financial
Statements for the period ended March 31, 2010,
and recommend forwarding the statements to the
Board
for receipt and filing.

Investment Reports
The Committee will review Investment Reports
for the months of April and May 2010. The Committee
will recommend forwarding the reports to
the
Board for receipt and filing.
-
Project Budget Comparison Reports
The Committee will be asked to review and forward
to the Board the quarterly Project Budget
Comparison Reports for the quarter ended March
31, 2010.

Canyon Power Project Financing
The Committee will receive an update from Public
Financial Management (PFM) with respect to
financing.
-
Mead Adelanto Project
The Committee will receive an update from Public
Financial Management (PFM) with respect to
the Constant Maturity Swap Suspension.
-
Magnolia Power Project
The Committee will receive an update from Public
Financial Management (PFM) with respect to
the basis swap financings.
-
Renewable Energy Project Financings
The Committee will receive an update from Public
Financial Management (PFM) with respect to
near-term renewable energy project financings.
-
Tieton Hydropower Project Financing
The Committee will receive an update from PFM
with respect to the 2010 Tieton Hydropower
Project
Bonds.
-
Windy Point/Windy Flats Wind Energy Project
The Committee will receive an update from PFM
with respect to the Windy Point/Windy Flats
Wind Energy
Project financing.
-
Standby Bond Purchase Agreements Relating
to the STS 2000 and 2001 Bonds
PFM will update the Committee on the status
of negotiations with the replacement liquidity
provider
related to the Standby Bond Purchase Agreements
for the STS 2000 Bonds. Any developments
regarding the STS 2001 Bonds will also
be provided if
applicable.

Mead-Phoenix / Mead-Adelanto Projects
The Committee will discuss the pending expiration
of the Line of Credit Agreements with JP Morgan
for the 2008 Bonds.

Schedule for Evaluation of Consultants
The Committee will review a proposed schedule
for the periodic evaluation of SCPPA’s
financial and legal consultants and future
requests for
proposals.
-
Market and VRDO Update
The Committee will receive a market and VRDO
status report from PFM.
-
Unsolicited Proposals
The Committee will review unsolicited proposals
that have been received from investment
bankers. The Committee may take action with
respect
to such proposals.

Closed Session
Potential Litigation: The Committee with
meet with legal counsel regarding significant
exposure
to
litigation pursuant to subdivision (b)
of Section 54956.9 of the California
Government Code (two
potential cases)
Potential Litigation: Conference with
legal counsel regarding the potential
initiation
of litigation
pursuant to subdivision (c) of Section
54956.9 of the California Government
Code (two potential
cases).
